If successful, Merkur intends to pursue a squeeze-out process, compelling minority shareholders to sell their shares, and subsequently delist SFC from Euronext Paris. 

These steps remain subject to regulatory approvals, including clearance from the French Autorité des Marchés Financiers (AMF) and the French Interior Ministry, which oversees ownership changes in gaming operators under Article L. 323‑3 of the French Code de la sécurité intérieure.

The combined company will be listed on stock exchanges in both Spain and Italy, which Cirsa and Lottomatica are already market leaders in.Italy accounted for 57% of a combined group pro format adjusted EBITDA in H1. Spain made up 23% of that figure, with Rest of World at 20%.

Once the deal is completed, 80% of its EBITDA is expected to come from those two markets.

Grasso did not explain the reason for that earlier return.

Grasso has also had a professional relationship with Rovito. Patch reported that the mayor, an attorney, has represented the restaurateur in civil matters. A pasta dish made of “fresh tomato sauce and basil, tossed with a touch of olive oil, and topped with fresh ricotta” at Capri Ristorante is also named “Linguini alla Mayor Grasso”
